I'm not sure I see the problem.  I got lost in the who is buying what from 
whom issue, but from the face of it, it doesn't look like a bad deal all 
round.  Curriculum doesn't drop from trees.  Schools buy books and all 
sorts of other materials.  Either they were going to pay for their own 
staff to develop it or they were going to buy it 'off the shelf'.  This 
looks like an 'off the shelf' arrangement.

Again, I got lost in the 'follow the money' part, but keep in mind no one 
got nothing for something.
