My consideration here would still be liability more than anything else, for anyone wishing to provide the first-line phone.
As an Internet service offering a "second line" VoIP, there is no particular regulatory problem.

Yes, but you will still have to find some way to:
1) terminate outbound calls (ie, buy PSTN access); and
2) support incoming geographical numbers.
While the "500m rule" means skipping the carrier license (assuming there are no other behaviours to turn the operation into a carrier), (1) above means the service is reselling a carriage service. So you will have to take out TIO membership.
And don't forget intercept. It has to be supported no matter what ...
